Jack Cornman

Mr. Cornman is a founding partner in the Irvine law firm of Cornman & Swartz.  His practice emphasizes corporate, finance, securities, tax and real estate transactions.

Mr. Cornman is a former in-house corporate and real estate counsel for McDonnell Douglas Finance Corporation.  He graduated Summa Cum Laude from Arizona State University in 1980 where he majored in Accounting.  He received his Juris Doctor, Cum Laude, from Arizona State University College of Law in 1986.  He is also a contributing author to the Arizona State Law Journal.

Mr. Cornman is a Certified Public Accountant (inactive license-Arizona) and served as a tax consultant with Arthur Andersen LLP and Deloitte & Touche LLP.  Mr. Cornman is licensed to practice law in the states of California (active) and Arizona (inactive).

Mr. Cornman’s practice emphasizes mergers and acquisitions, debt and equity financings, real estate secured financings, and representation of technology companies.  Mr. Cornman’s experience also includes a broad range of corporate finance transactions with an emphasis on private securities offerings for technology companies and private equity investors.  He has represented both issuers and private equity investors in private placements, real estate lenders with respect to secured loans, as well as representation of licensors and licensee with respect to the licensing and distribution of software and other products and technologies.

Mr. Cornman’ s practice also extends to all types of general corporate matters and he serves as outside general counsel to many of his clients advising on the formation of corporations, partnerships, limited liability companies, joint ventures and other entities; corporate maintenance and governance; shareholder and buy-sell agreements; employment and consulting agreements; employee compensation matters, such as restricted stock, stock options and phantom stock plans; and confidentiality agreements and intellectual property protection.

Mr. Cornman  serves on the Executive Committee of and previously chaired (2010 through 2012) the Banking And Lending Section of the Orange County Bar Association and is a member of the Real Estate and Corporate Law Sections of the Orange County Bar Association.   

Mr. Cornman served as a member of the Board of Directors of a master community association and he has been a speaker on various business law matters at educational programs of the Orange County Chapter of the California Society of CPA’s, the National Business Institute, and the Tax Section of the State Bar of California.

Charles A. Swartz

Mr. Swartz is a founding partner in the Irvine law firm of Cornman & Swartz and specializes in business and commercial litigation, employment law, breach of contract, business torts, real estate law, and personal injury claims.  He has tried numerous cases before juries and judges in both Federal and State Courts.  He also has extensive construction litigation experience in representation of general contractors and developers.

Employment law areas of practice include substantial experience representing employers and employees in the areas of discrimination, sexual harrassment, overtime claims, and misclassification claims. 

Mr. Swartz has represented developers, lenders, and contractors in commercial, contract, real estate and construction defect litigation.

Mr. Swartz graduated Magna Cum Laude from University of California, Los Angeles in 1984 where he majored in Economics.  He received his Juris Doctor from Boalt Hall School of Law, University of California, Berkeley in 1987.

Mr. Swartz was Associate Editor of the International Tax & Business Lawyer published by Boalt Hall School of Law.
